1. Use of the Services

You may use our Services only in accordance with these Terms and all applicable laws. You agree not to misuse the Services or help anyone else do so. For example, you must not:

• Reverse-engineer, decompile, or disassemble any part of the Services.
• Access or use the Services to monitor availability, performance, or functionality for competitive purposes.
• Attempt to gain unauthorized access to systems or data.
• Use the Services to violate the rights of any third party.

2. Your Data and Privacy

You retain ownership of your data, including prompts and agent interactions, but grant DefendAI the limited rights necessary to operate, improve, and support our Services securely.

3. AI Governance and Security Disclaimers

DefendAI provides tools to manage and secure Generative AI workflows, agents, and infrastructure. You acknowledge that:

• You are responsible for configuring and enforcing your own policies.
• DefendAI does not guarantee complete protection from prompt injection, data exfiltration, or misuse of autonomous agents.
• You assume all responsibility for compliance with applicable laws and regulations when deploying AI agents or securing sensitive data through our platform.

4. Account Registration

To use certain features, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and all activity under your account.

5. Subscription and Payment Terms

Some DefendAI services are billed on a subscription basis. You agree to pay all fees as described when signing up. Unless stated otherwise, payments are non-refundable. We may modify our pricing with prior notice.

6. Intellectual Property

DefendAI Tech owns all rights, title, and interest in and to our Services, including software, logos, designs, and underlying technology. You may not use our branding without explicit written permission.

7. Termination

We reserve the right to suspend or terminate your access to the Services at any time for violation of these Terms or to protect the integrity of the platform. Upon termination, you must cease all use and destroy any materials obtained through the Services.

8. Limitation of Liability

To the maximum extent permitted by law:

• DefendAI Tech shall not be liable for any indirect, incidental, special, or consequential damages.
• Total liability for any claim shall not exceed the amount paid by you to DefendAI in the six months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless DefendAI Tech, its affiliates, employees, and agents from any claims, damages, or liabilities arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

10. Modifications to Terms

We may revise these Terms at any time. If we make material changes, we’ll provide notice via email or through our platform. Your continued use after changes become effective constitutes your acceptance.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Santa Clara County, California.
